Madgic Creator Content Agreement
This Creator Content Agreement (“Agreement”) is made between you (“Creator”) and Madgic, LLC (“Company”). By accepting this Agreement, you acknowledge and agree to the following terms:
Content Ownership & Rights
- All content, videos, audio recordings, scripts, images, footage, and other materials (“Content”) created, produced, submitted, or delivered by Creator to Company shall be deemed “work made for hire” to the fullest extent permitted by law.
- To the extent any Content does not qualify as “work made for hire,” Creator hereby irrevocably assigns, transfers, and conveys exclusively to Company all right, title, and interest in and to such Content, including all copyrights and other intellectual property rights, in perpetuity and throughout the world, without further consideration.
- Company shall have the exclusive right to use, reproduce, display, modify, distribute, sublicense, sell, assign, and otherwise exploit the Content for any purpose, in any media, now known or later developed, worldwide and in perpetuity.
Non-Use and Non-Disclosure by Creator
- Creator shall not use, publish, post, upload, distribute, license, sell, or otherwise exploit the Content, or any derivative works thereof, for any purpose other than for Company, nor display or reference the Content in any personal, professional, or commercial portfolio, website, social media, or other platform, without the express prior written consent of Company.
- Creator shall not disclose, discuss, or share any information about the Content, Company projects, or clients to any third party, except as expressly authorized by Company.
Compensation
Creator shall be paid the compensation as set forth by Company for each assignment.
Creator acknowledges and agrees that such compensation is the sole consideration for all services rendered and rights assigned under this Agreement.
Representations & Warranties
Creator represents and warrants that:
- All Content is original, does not infringe any intellectual property or proprietary rights of any third party, and does not violate any law.
- Creator has full right and authority to enter into this Agreement and assign all rights in the Content.
Independent Contractor
Creator is an independent contractor and not an employee, agent, or representative of Company. Nothing herein creates any partnership, joint venture, or employment relationship.
Indemnification
Creator shall indemnify and hold harmless Company, its affiliates, clients, and partners from any claims, damages, liabilities, or expenses arising from breach of this Agreement or violation of any rights of third parties.
Miscellaneous
- This Agreement is governed by the laws of the State of [YOUR STATE], without regard to its conflicts of laws principles.
- Company may modify this Agreement at any time, and such modification will be effective upon posting.
- This Agreement constitutes the entire agreement between Creator and Company with respect to the Content and supersedes all prior agreements or understandings.
By accepting, you acknowledge that you have read, understand, and agree to be legally bound by all terms above.
